Terms of Service

AthleteFC offers an online marketplace for personalized and group video messages from professional
athletes ("Athletes") within sports organizations.

Before using AthleteFC's website (www.athletefc.com) and its services ("Services"), please
carefully review these General Terms of Service. By accessing or using the Services, you
agree to be bound by these terms. If you do not agree, you may not use the Services.

General
‍
These Terms govern your relationship with AthleteFC. By using the Services, you accept and
agree to these Terms.
‍
To use the Services, you must be at least 18 years old or have your guardian's consent if you are
a minor. If you represent a commercial entity, ensure you have the necessary rights and
authority. All information you provide must be accurate and valid.
‍
If you cannot meet these requirements or do not understand or agree to these Terms, you may not
use the Services.
‍
Using the Services
‍
You may use the Services to request and fulfill personalized and group video messages
("Videos") from users within your organization. These Videos are referred to as "Video
Messages" and can be used for both non-commercial and commercial purposes at the discretion
of the sports organization.

To request Video Messages, send a Personalized or Group request via the Sport Organization’s
Admin Panel. Admins and users are collectively responsible for fulfilling these requests unless
otherwise agreed.

Usage Restrictions
‍
When using the Services, you agree not to:

● Violate any laws, rules, or rights.
● Share harmful, offensive, or illegal content.
● Access unauthorized areas of the website.
● Distribute spam or viruses.
● Modify any part of the Services without authorization.
● Collect others' information without consent.
● Overload the system.
● Use the Services without permission.
● Impersonate others.
Violating these terms may result in limiting, suspending, or terminating your access to the
Services and removal of content.

Technical Limitations
‍
The Services may be temporarily unavailable due to maintenance or technical issues.

License
‍
You are granted a personal, revocable, non-exclusive, non-transferable, and limited right to
access and use the Services as outlined in these Terms. AthleteFC reserves all rights not
expressly granted.

When purchasing a "Video Message" the sports organization receives ownership rights to use,
distribute, reproduce, and display the Video for both commercial and non-commercial purposes.
This includes but is not limited to social media platforms, marketing campaigns, and promotional
activities.
‍
Videos may not be used for offensive or harmful content, including but not limited to illegal,
abusive, harassing, indecent, obscene, hateful, racist, derogatory, or otherwise objectionable
material.
‍
You may not edit the Videos unless agreed upon in writing. Upon request by AthleteFC or the
Athlete, you must remove the Video from any platforms.
‍
The sports organization’s watermarked logo, and optionally a sponsor’s logo, must remain intact
on each Video. You cannot alter, cover, or remove these watermarks unless approved by the
sports organization.
‍
Your right to use the Services and Videos depends on your compliance with these Terms and any
applicable third-party conditions.
‍
You may not copy, modify, reverse engineer, or disassemble the Services, including text,
graphics, logos, etc. Data mining or similar tools are prohibited.
‍
AthleteFC's trademarks, trade names, and other signs ("Marks") are protected by trademark laws.
Using Marks without written approval is strictly prohibited.

Ownership

Except for rights granted by you, AthleteFC does not acquire ownership rights to User-
generated content.

Content within the Services, including text, graphics, logos, etc., is owned or licensed by
AthleteFC. Nothing in these Terms transfers AthleteFC's material or intellectual property rights.
‍
AthleteFC has a limited license to use results from your service to improve its products and
services.
‍
Personal Data and GDPR Compliance
‍
By providing personal data, you confirm that you have received information on data processing
from the AthleteFC website. AthleteFC complies with the General Data Protection Regulation
(GDPR) and other relevant European data protection laws.
‍
You have the right to access, rectify, or delete your personal data. For any data protection

Liability, Non-warranty, and Indemnity

The Services are provided on an "as-is" and "as-available" basis, without warranties of any kind. AthleteFC does not guarantee continuous, error-free, or uninterrupted service.

AthleteFC is not liable for third-party content and is not responsible for service disruptions due
to maintenance or technical issues.

AthleteFC is not liable for indirect damages, including loss of profits.
‍
Copyright Policy
‍
AthleteFC respects intellectual property rights and responds to copyright infringement notices. If
you suspect copyright infringement, provide necessary information to hello@athletefc.com.

The Services may link to third-party sites. AthleteFC is not responsible for their content or
policies and does not endorse them.
‍
Force Majeure
‍
AthleteFC is not liable for failures caused by factors beyond its control.
‍
Entire Agreement, Amendments, and Changes

These Terms constitute the entire agreement between AthleteFC and you, replacing earlier
agreements. AthleteFC may amend these Terms, with changes taking effect after acceptance.

Periodically review of these Terms

AthleteFC can change the Terms of Services' content and functions without
notice. By using the Services, you agree to the changes.

Miscellaneous
‍
AthleteFC can transfer its rights or responsibilities to third parties. Transfers will not
significantly disadvantage you.
‍
If a provision is invalid, the rest remains valid. Delays in enforcing rights do not waive those
rights.

Governing Law and Disputes
‍
These Terms are governed by European law, and disputes shall be settled in the relevant courts
of the European Union. Consumer disputes can be settled via alternative dispute resolution.

Athletes
‍
When you create content within our platform, you indicate acceptance of these Terms. This means you have read, understood, and agreed to be bound by them. If you disagree, do not use our Platform.

Platform Registration
To engage on our Platform, you must register and provide accurate information about yourself. Maintain and update this data.

False identity use is prohibited. Keep your account info confidential and notify us of
unauthorized access.

Users  must be at least 18 years old. By registering, you confirm you are of legal age and agree
to follow laws. Sport Organizations can register a user and are accountable for compliance.

Fees and Payment
‍
There are no direct fees or payments for users of the Services. Payment terms are agreed upon
with the sports organization (client) in our licensing agreement.
‍
User Intellectual Property

When using our Platform, you grant us a broad license to use, reproduce, distribute, modify, and
display your content. Your content might appear in ads, and you agree that you are solely
responsible and liable for public content and any communications made in connection with your
use of the public content.

Compliance with law
‍
You shall comply with all laws applicable to your use of the Service. Notwithstanding anything
herein (including any permissions granted by us herein), you are solely responsible for your own
understanding of, and compliance with, all applicable laws. We make no representation (and you
should not rely on any representation by us) regarding what applicable law might or might not
require (including with respect to data subject notices, consents and permissions).
Some jurisdictions restrict or do not allow some of the foregoing limitations of liability in
contracts, and as a result the contents of these terms may not apply to you. In cases where such
laws apply, our liability shall be limited to the fullest extent permitted by law.

Using our content or Marks without our written consent is prohibited.

We are not responsible for third-party websites linked from our Platform.

Changes to Our Platform

We can change or discontinue aspects of our Platform without notice.
Termination and Reservation of Rights
We can terminate access to our Platform at our discretion, including for violations of these
Terms.

Disclaimers and Limitations of Liability

Using our Platform is at your own risk. We are not responsible for errors, damages, unauthorized
access, and more. Content from various sources might be inaccurate, offensive, or objectionable.

We are not liable for indirect damages. In no event does our liability for any claim relating to these terms or the service exceed the total amount paid by you (the client) to us during the 12 months prior to the date on which the claim arose.

Any claim relating to the service or these terms that is not made within three (3) months after the
discovery, or when the claim should have been discovered, is not valid.

Indemnification
‍
You agree to defend us against claims, costs, and more arising from your Platform use.

Changes to These Terms
‍
We may change these Terms and will post revisions on our Platform. The updated Terms take
effect immediately if accepted or after ten days if not rejected.
